Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Uniphy (“Uniphy,” “we,” “us”) governing your use of the Uniphy iOS app and related services. By creating an account or using Uniphy, you agree to these Terms and to our Privacy Policy.

The service

Uniphy helps resellers create listings and publish them to marketplaces they connect (such as eBay and Depop), and keeps inventory, orders, and delisting in sync. Uniphy is a tool: your listings and sales are your own. We are not a party to transactions between you and your buyers, and we do not guarantee that any item will sell.

Your account

You must be at least 18 years old (or the age of majority where you live) and able to enter a binding contract. Keep your sign-in credentials secure and your account information accurate. You are responsible for activity under your account.

Marketplace connections

When you connect a marketplace, you authorize Uniphy to act on your behalf through that marketplace’s official API — creating and updating listings, importing orders, and ending listings when items sell. You agree to comply with each connected marketplace’s own terms and policies. Marketplaces control their platforms and APIs: they may change, limit, or revoke access, and Uniphy is not responsible for their decisions, outages, fees, or policy enforcement against your seller account.

Your content

Your photos, listings, and inventory data are yours. You grant Uniphy the rights needed to run the service — to host and process your content, generate listing details with it, and send the listing content you choose to publish to the marketplaces you select. You are responsible for having the rights to what you upload and sell, and for the accuracy and legality of your listings.

AI features

AI listing autofill produces drafts. Review everything before you publish: AI output can be inaccurate, and you are responsible for the final content of your listings. AI features are subject to the fair-use limits below.

Fair use, rate limits, and abuse

Fair use of AI features. Subscription plans include the AI usage described on the plan you purchase. Plans described as “unlimited” are subject to fair use: they cover ordinary individual or business use of the app by a person, not automated, scripted, resold, or shared access. Uniphy may apply technical rate limits (for example, per-minute or per-hour caps) to all plans to keep the service fast and available for everyone. These limits are set so that normal use of the app does not encounter them.

Marketplace conduct. Uniphy connects to third-party marketplaces on your behalf. You agree to use these connections in compliance with each marketplace’s own terms and policies, and not to use Uniphy to send spam, create misleading or junk listings, flood messages or offers, or otherwise abuse a connected marketplace. Because marketplaces hold Uniphy responsible for activity through our integration, we may limit, pause, or disconnect your marketplace access immediately if your activity risks our compliance with a marketplace’s policies.

Automated access. Except through features we provide in the app, you may not access the service with scripts, bots, or other automated means, probe or bypass usage limits, or share one account across multiple people or businesses.

Enforcement. If we reasonably believe your use violates this section, we may throttle, suspend, or disable specific features (including AI features and marketplace connections) or your account, with or without notice. We record the reason for every enforcement action, and you can contact hello@uniphy.app to appeal. Where your violation caused the restriction, we are not obligated to refund fees for the affected period, except where a refund is required by applicable law or by the app-store platform through which you purchased.

What we never do. Enforcement actions block activity through Uniphy going forward; we do not delete your inventory data, and we do not remove your existing marketplace listings as a penalty.

Subscriptions and billing

Subscriptions are purchased through Apple’s App Store and renew automatically until cancelled in your App Store settings. Prices may change; changes apply from your next billing period, never retroactively. Refunds are handled through the App Store under Apple’s policies and applicable law.

Disclaimers

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that listings will publish without rejection by a marketplace, or that any item will sell.

Limitation of liability

To the fullest extent permitted by law, Uniphy will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for all claims relating to the service is limited to the amount you paid Uniphy in the twelve months before the claim arose. Some jurisdictions do not allow these limits, so they may not fully apply to you.

Termination

You can stop using Uniphy and delete your account at any time. We may suspend or restrict features as described in the fair-use section, and may terminate accounts for material breach of these Terms. On termination, sections that by their nature should survive (your content responsibilities, disclaimers, limitation of liability) survive.

Changes to these terms

If we make material changes, we will update this page and the date above, and notify you in the app when appropriate. Continuing to use Uniphy after changes take effect means you accept the updated Terms.
